License Agreement

1. Introduction

This License Agreement ("Agreement") governs the use of digital products, including but not limited to smart contracts, dApps, scripts, templates, and blockchain tools (collectively, "Products") purchased through Web3.Market ("Platform"). By purchasing and downloading any Product from the Platform, you ("Licensee," "you," or "your") agree to be bound by the terms and conditions of this Agreement.

This is a standard license framework. Individual Products may have additional or modified license terms specified in their product documentation. Product-specific terms take precedence over this Agreement where they conflict.

2. License Types

Web3.Market offers multiple license types. The specific license granted to you is indicated at the time of purchase and in your purchase receipt. All licenses are perpetual unless otherwise specified.

2.1 Personal License

Grant: The Personal License grants you a non-exclusive, non-transferable right to use the Product for personal, non-commercial purposes.

Permitted Uses:

• Use for personal projects and learning
• Deploy for personal testing and development
• Modify for personal use
• Create derivative works for personal use

Restrictions:

• No commercial use or monetization
• No distribution or resale
• No use in client projects
• Limited to one user/developer

2.2 Commercial License

Grant: The Commercial License grants you a non-exclusive, non-transferable right to use the Product for commercial purposes in a single project or application.

Permitted Uses:

• Use in one commercial project or application
• Monetization and revenue generation
• Deployment on mainnet or production environments
• Modification and customization for your project
• Use by up to 5 developers within your organization
• Distribution as part of your end product (not standalone)

Restrictions:

• Limited to one project/application
• No resale or redistribution of the Product itself
• No use in multiple projects (requires Extended License)
• No sublicensing to third parties

2.3 Extended Commercial License

Grant: The Extended Commercial License grants you a non-exclusive, non-transferable right to use the Product in unlimited projects and applications for commercial purposes.

Permitted Uses:

• Use in unlimited commercial projects
• Monetization across multiple applications
• Use by unlimited developers within your organization
• Client project deployment (as part of services)
• Creation of SaaS or platform products
• Distribution as part of end products (not standalone)

Restrictions:

• No resale or redistribution of the Product source code
• No creation of competing products or templates
• No sublicensing or transfer of license rights

2.4 Developer License

Grant: The Developer License is designed for agencies and development teams, granting rights to use the Product in client projects.

Permitted Uses:

• Use in client projects (up to 10 clients per license)
• Agency and freelance work
• Team usage (up to 10 developers)
• Modification and customization
• Deployment for clients

Restrictions:

• Limited to 10 client projects (additional license required for more)
• No resale of the Product itself
• No transfer of source code to clients (only compiled/deployed versions)

3. General License Terms

3.1 Ownership and Copyright

All Products purchased through Web3.Market remain the intellectual property of their respective creators/sellers. This Agreement grants you a license to use the Product; it does not transfer ownership or copyright. You acknowledge that the seller retains all rights, title, and interest in and to the Product.

3.2 Attribution Requirements

Unless otherwise specified in the product documentation:

• Personal License: Attribution required in code comments
• Commercial License: Attribution required in code comments; optional in public-facing materials
• Extended/Developer License: Attribution recommended but not required

Attribution format: "Powered by [Product Name] from Web3.Market"

3.3 Modification Rights

All licenses grant you the right to modify the Product for your permitted use cases. However:

• You may not remove or modify copyright notices, license information, or attribution requirements
• You may not use modifications to create competing products or templates
• You remain bound by the license restrictions regardless of modifications
• Modified versions may not be redistributed or resold

3.4 Support and Updates

Support and updates vary by Product and seller:

• Support terms are specified in product documentation
• Updates may be provided at the seller's discretion
• No guarantee of ongoing support or updates unless explicitly stated
• Extended support may be available for purchase separately

3.5 Transferability

Licenses are non-transferable unless you upgrade to a higher license tier or receive explicit written permission from the seller. You may not sell, rent, lease, or sublicense your license rights to any third party.

3.6 Refund and License Revocation

If you receive a refund for a purchased Product (subject to our Refund Policy), your license is immediately revoked, and you must:

• Cease all use of the Product
• Delete all copies from your systems
• Remove any deployed instances
• Destroy any derivative works

4. Prohibited Uses

Regardless of license type, you may not:

• Redistribute: Share, sell, or distribute the Product source code to third parties
• Resell: Resell the Product or modified versions as standalone products or templates
• Compete: Use the Product to create competing products, templates, or marketplaces
• Circumvent: Remove, bypass, or disable license verification or protection mechanisms
• Reverse Engineer: Decompile, disassemble, or reverse engineer (except as permitted by law)
• Illegal Use: Use for any illegal, fraudulent, or malicious purposes
• Claim Ownership: Claim authorship or ownership of the Product
• File Sharing: Share via torrents, file-sharing platforms, or public repositories

5. Warranties and Disclaimers

5.1 Limited Warranty

Sellers warrant that they have the legal right to license the Product and that the Product does not infringe on third-party intellectual property rights to the best of their knowledge.

5.2 No Warranty of Fitness

PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE SELLER AND WEB3.MARKET DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, AND NON-INFRINGEMENT.

5.3 Security Disclaimer

Products undergo standard code review for quality and basic security checks. However, we do not guarantee zero vulnerabilities. You are responsible for:

• Professional Security Audits: We strongly recommend conducting professional security audits before production deployment
• Testing thoroughly in testnet/development environments before mainnet deployment
• Ensuring compliance with applicable laws and regulations
• Implementing additional security measures as needed
• Understanding that standard code review does not replace comprehensive security audits

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE SELLER NOR WEB3.MARKET SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATED TO:

• Use or inability to use the Product
• Security vulnerabilities or exploits
• Smart contract bugs or failures
• Financial losses from deployment or use
• Regulatory compliance issues
• Third-party claims

THE TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.

7. Indemnification

You agree to indemnify and hold harmless the seller and Web3.Market from any claims, damages, losses, or expenses arising from:

• Your use of the Product
• Your violation of this Agreement
• Your infringement of third-party rights
• Modifications you make to the Product
• Your deployment or operation of the Product

8. License Verification and Enforcement

Web3.Market and sellers reserve the right to verify license compliance. Products may include license verification mechanisms. Violation of license terms may result in:

• Immediate license revocation
• Account suspension or termination
• Legal action to recover damages
• Reporting to relevant authorities

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in accordance with Web3.Market's Terms of Service.
